In these Terms, unless the contrary intention appears, any capitalized reference to:
"AI Features" shall mean any features of the Services that incorporate artificial intelligence, machine learning, or generative technologies, including any chatbot or virtual-assistant functionality made available as part of the Services.

"AI Output" shall mean any content, response, summary, suggestion, code or other output generated by or through the AI Features, whether in response to User Input or otherwise.

"Applicable Law" shall mean any and all applicable laws, statutes, orders, regulations, rules, requirements, practices and guidelines of any government, regulatory authority or self-regulating organisation that applies to or governs the Terms and its subject matter in its applicable jurisdiction.

"Services" shall mean the information products, data, services and / or software technologies owned by or associated with Handshakes or the 'Handshakes' brand.

"Terms" shall mean these HS Agent Terms governing the User's access to and use of the AI Features made available as part of the Services.

"Third-party Integrations" shall mean data, information or applications contained or integrated within the Services which are or may be licensed to Handshakes from third-party providers for redistribution to the User via the Services.

"User" shall mean the individual and / or entity accessing or using the Services.

"User Input" shall mean any prompt, query, document, data or other input submitted by the User to, or through, the AI Features.

• AI Features and AI Output: The Services may include AI Features, including chatbot or virtual assistant functionality. AI Features generate AI Output using automated, probabilistic and/or generative processes. Handshakes does not warrant, whether expressly or impliedly, the accuracy, completeness, reliability, currency, suitability, or fitness of any AI Output for any particular purpose or use. AI Output does not constitute legal, business, tax, financial or credit advice, a credit report, or an opinion on any person’s eligibility for credit, and the User remains responsible for independently reviewing and verifying any AI Output before relying on it.
• User Review and Responsibility: The User acknowledges and agrees that AI Output should not be used as the sole basis for any decision that materially affects the rights, obligations, or interests of any individual or entity, including any credit, lending, employment, legal, or compliance-related decision, without independent human review and verification. The User acknowledges that AI Features use automated technologies and may involve probabilistic processing. The User remains responsible for reviewing, validating, and determining the suitability of any AI Output before use.
• User Input and Restrictions: The User is solely responsible for all User Input, and represents that User Input does not violate Applicable Law, infringe any third party’s rights, or include unlawful, defamatory content or sensitive personal data that the User is not authorized to share. The User shall not submit any confidential information, trade secrets, or proprietary information belonging to any third party through the AI Features unless the User has obtained all necessary rights and authorisations to do so. In addition to the restrictions, representations and warranties that apply to the User under any existing agreement with Handshakes, the User expressly undertakes that it shall not use the AI Features to:
  1. attempt to extract, reverse engineer, or replicate any underlying model, algorithm, weighting, or training data;
  2. generate content that infringes any third party’s Intellectual Property Rights or otherwise violates Applicable Law;
  3. automate or bulk-query the AI Features;
  4. present AI Output to any third party as human-generated advice in a manner that would mislead that third party;
  5. use the AI Features or AI Output to develop, train, fine-tune, validate, or improve any artificial intelligence or machine learning model, whether directly or indirectly, except with Handshakes’ prior written consent; and
  6. circumvent, disable, interfere with, or bypass any security controls, safeguards, content filters, or usage restrictions implemented in connection with the AI Features.
  The User acknowledges and agrees that Handshakes may collect, retain, use, reproduce, process, and analyse User Input and AI Output for the purposes of providing, maintaining, developing, improving, training, and enhancing the AI Features and related artificial intelligence or machine learning models pursuant to Applicable Laws and Handshakes’ applicable policies.
• Modification, Suspension and Restriction of AI Features: Handshakes may, at its discretion, modify, suspend, restrict, or discontinue any AI Features or functionality at any time. Without limiting the foregoing, Handshakes may suspend or restrict the User's access to the AI Features where it reasonably believes that the User has breached these Terms, or where such action is necessary due to changes in technology, regulatory requirements, third-party service availability, security considerations, or to protect the Services, Handshakes, or any third party.
• Use of AI Output and Intellectual Property Rights: Handshakes grants the User the right to use AI Output for the User’s internal business purposes in accordance with the Terms. Handshakes and its licensors retain all Intellectual Property Rights in the AI Features themselves, including the underlying models, prompts, and technology, and in any Handshakes Information incorporated into AI Output.
• Non-Exclusive Nature of AI Output: The User acknowledges that AI Output may not be unique, and similar or identical outputs may be generated for other users. Handshakes does not warrant that any AI Output will be proprietary to the User, eligible for intellectual property protection or that the User will have exclusive rights in any AI Output.
• Third-party Integrations: Where AI Features are powered by or incorporate a Third-party Integration (for example, a third-party large language model), any pass-through terms from such Third-party Integration applies equally to the User’s use of those AI Features. User shall comply with all Applicable Laws relating to the development, deployment or use of the AI Features.
